Trade Terms & Conditions

Bombay Duck Limited is a company registered in England and Wales. Company number 02830808, VAT number GB 627 1118 62, registered office at 231 The Vale, London W3 7QS.


Your use of the Bombay Duck website and/or by placing an order with Bombay Duck you will be deemed to have read, understood and agreed to these terms and conditions.

Placing an order with Bombay Duck
You can place an order online at www.bombayducktrade.com, by phone on +44 (0)20 8749 7000  or by emailing sales@bombayducktrade.com.

When you place an order you are making an offer to Bombay Duck to purchase the goods detailed in the order subject to these terms. When you have placed an order online we will send you an automatic email confirmation to confirm that your order has been received. This email is not a confirmation that your offer to purchase the goods has been accepted and it is not a confirmation that we will be able to meet your order.

Minimum orders
The minimum UK order value is £200 (two hundred pounds) excluding VAT.
The minimum EU order value is €300 (three hundred euros).
The minimum Rest of World order value is £400 (four hundred pounds)

Pack sizes
Order quantities must be in multiples of the pack size. Bombay Duck reserves the right to increase order quantities to meet the specified pack size.

Carriage

UK Mainland (excluding highlands and islands)
Carriage will be charged at £15.00 for UK orders between £200 - £400 excluding VAT.
Carriage is FREE for UK orders above £400 excluding VAT .
Carriage will be charged in full on the first invoice only and no carriage will be charged on back orders.

Scottish Highlands
Carriage will be charged at £25.00 excluding VAT.

UK Islands
Carriage will be charged at £30.00 excluding VAT.

Northern Ireland
Carriage will be charged at £25.00 excluding VAT.

EU
For specified EU countries carriage is charged as a fixed percentage of your order value.  The percentage is detailed in our delivery table.
For EU countries not included in our delivery table carriage will be quoted on an individual order basis.
Carriage will be charged in full on the first invoice only and no carriage will be charged on back orders.

Rest of World
We can deliver to a UK shipper for our standard UK delivery rates.
Carriage outside the UK will be quoted on an individual order basis.

Payment
Payment can be made by cheque payable to 'Bombay Duck Ltd', credit card (we accept Mastercard, Visa, Amex), Paypal or by bank transfer. All bank charges must be paid by the customer.

There is a charge of £30 for cheques which are represented and/or returned to Bombay Duck unpaid.

Proforma Accounts
All new accounts are opened on a proforma basis. Full payment must be made and cleared into the Bombay Duck bank account before any goods will be dispatched.

Credit Accounts
A credit account will be considered after receipt of a fully completed account application form, trade references and satisfactory trading history with Bombay Duck. All accounts are strictly due for payment in full within 30 days from the date of invoice.
The Company reserves the right to withdraw credit facilities from customers who do not settle their accounts in accordance with these terms and conditions of trade or for any other reason. The Company reserves the right to recoup any costs incurred should litigation be necessary in order to recover monies legitimately owed to the Company.

Returns and Claims
Items damaged, faulty or missing from your delivery must be reported in writing to Bombay Duck within 5 working days of receipt of delivery.  Please email returns@bombayducktrade.com with full details of any claim. Claims reported more than 5 days after receipt of delivery will not be accepted.

You will be issued with aReturns Authorisation Number (RAN) for damaged/faulty goods that are authorised to be returned.  You will also be given instructions for how to return the goods to us. You must return the goods within 10 working days of receiving your RAN to the following address:

Returns cannot be made for any other reason. Returns without a RAN may be refused by our warehouse and if accepted will be subject to a 30% restocking fee.

Returned goods remain the responsibility of the customer until received by the Bombay Duck warehouse.

Damaged/ faulty/ missing items will either be credited to your account or replaced at the discretion of Bombay Duck.

Exclusivity
We do not offer exclusivity on any of our standard products.  We do not offer exclusivity to any business in any area / location.

Price
While we try to maintain our printed prices, they are subject to change from time to time and we will endeavour to inform you of any changes. The price payable by you will be that shown on our Order Confirmation at the time of despatch. All prices are shown exclusive of VAT.
Delivery outside the EU may be subject to local import taxes which are your responsibility where they apply. We cannot advise you of these charges, please consult your local customs office.

Description
Most Bombay Duck products are hand finished, therefore there may be some variations in colour, texture or finish. These are not considered flaws.
We take extra care to ensure that the specifications and descriptions of Bombay Duck products are accurate but they are not intended to be binding and are intended only to give a general description of the products.
The colour accuracy of the colour-way options displayed within the site will vary dependant on a number of factors and as such should be seen only as representative. As part of its process of continuous improvement, Bombay Duck Ltd reserves the right to alter specifications and colours without notice. Consequently, products available may vary slightly in colour from that shown on the current site. We also try our hardest to ensure that colours are reproduced as accurately as possible though we cannot control differences that may occur through printing in the catalogue and technical issues online such as different browsers and monitors.

Stock Availability
Every effort will be made to send orders complete. However, if stock is not available part deliveries will be sent. Bombay Duck reserves the right to cancel back orders at its discretion.

Retention of Title
Subject to the following provisions:
(1) All goods shall remain the absolute property of the Company until they have been paid for in full. Until such time the Customer shall hold them as bailee only and keep them clearly marked as the property of the Company and separate from other goods in the Customer’s possession.
(2) If the Customer defaults in payment of the purchase price or any part of it, or if, before the purchase price is paid in full, a reserver is appointed over all or any part of its or his assets or if the Customer goes into voluntary or compulsory liquidation or the Customer does any act which in the case of a natural person would be an act of bankruptcy, then:
(a) The Company shall be at liberty and is hereby authorised to enter upon the Customer’s premises and to retake possession of the goods or any of them.
(b) The Company may give 14 days notice to the Customer to pay the purchase price of the balance, thereof and if the Customer does not do so the Company may (without prejudice to any other rights it may have) treat itself as discharged from further performance of the contract deal with the goods or any of them as its own property and claim damages from the Customer for any resulting loss.
(3) Notwithstanding that the goods remain the property of the Company they shall be at the Customer’s sole risk in the case of specific goods from the date of the agreement and in the case of unascertained goods from the time that they are unascertained and unconditionally appropriated to the contract by the Company.
(4) Where the Customer has made known to the Company before the contract is made that he wishes to acquire the goods for resale the Customer is licensed to sell the goods while they remain the property of the Company but only upon the following terms:
(a) As between the Company and the Customer, the Customer will sell as agent of the Company.
(b) As between the Company and the Customer, the Customer will sell as principal and not as agent and has no authority to contract as agent of the Company.
(c) The Customer shall keep proper records of each such resale and shall account to the Company for the proceeds thereof and shall not mix such proceeds with any monies of his own or pay them or cause them to be paid into any account other than a separate bank account in the name of the Company specially designed by the Customer for the purpose in a bank which is on notice of the fiduciary nature of such receipts.
(d) The price at which the goods are resold shall not be less than the contract price hereunder (after making such appointments as may be reasonable).
(e) The Company shall hold such proceeds upon trust to pay to itself the purchase price of the goods the subject of the contract and to pay the balance if any to the Customer.
(f) This license shall be terminated forthwith upon notice by the Company to the Customer should the Customer commit any breach of the terms of the contract or should the Company become entitled to retake possession of the goods or any of them.

The entire liability of Bombay Duck under or in connection with any contract for any products to which these conditions apply shall not exceed the price of the products, except as expressly provided in these terms and conditions.

Governing Law and Jurisdiction
This website is controlled and operated by Bombay Duck Ltd from its offices in England. We make no representation that materials on this site are appropriate or available for use in other locations, and accessing them from territories where their contents are illegal is prohibited. Customers who access this website from locations outside the United Kingdom do so at their own risk and on their own initiative and are responsible for compliance with local laws, to the extent that any local laws are applicable.

All terms and conditions contained on this website shall be governed by and construed in accordance with English law. By using this website, you hereby submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising under or in connection with these Terms or your use of this website.

General
These conditions shall take precedence over any conditions which may appear in the Customer’s Purchase Order, and we shall not be bound by the Customer’s terms and conditions unless expressly agreed by us in writing. These conditions supersede all conditions previously stated.
